1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of this website and any related services (“Site”). By accessing or using this Site, you agree to be bound by these Terms, as well as any additional guidelines, restrictions, or rules posted in connection with specific sections of the Site or specific services. All such additional guidelines are incorporated by reference.

Sunray Printing Solutions Inc. (“we,” “our,” or “us”) reserves the right to modify or update these Terms at any time without prior notice. You should review these Terms regularly. Continued use of the Site following changes constitutes your acceptance of the updated Terms.

By using this Site, you agree that all legal notices, disclosures, and communications may be provided to you electronically, either by posting them on our website or by sending them to the email address you provided during registration. If you withdraw your consent to receive communications electronically, you must discontinue use of the Site and your account.

2. General Terms

All orders and transactions conducted online at www.www.sunrayprinting.com or by phone are governed by the laws of the State of Minnesota.

Sunray Printing Solutions Inc. is not responsible for delays or damages resulting from circumstances beyond our control, including but not limited to: equipment failure, natural disasters, war, riot, government actions, embargoes, transportation delays, or any other force majeure events.

All tools, design templates, and interfaces available on the Site are the property of Sunray Printing Solutions Inc. and its affiliates. By placing an order, the Buyer agrees to these Terms, and such order is deemed acceptance of the Seller’s conditions.

3. Order Acceptance

All orders are subject to review and acceptance by Sunray Printing Solutions Inc. We reserve the right to reject any order, for any reason, at any time. We may adjust pricing at any time, including after an order has been placed, if necessary due to errors or other unforeseen circumstances.

4. Returns & Claims

Due to the custom nature of our products, all sales are final once an order has been processed and/or shipped.

Claims for defects, damages, or shortages must be submitted in writing within two (2) business days of receiving the order.

We will replace only those orders that were produced incorrectly based on the final approved artwork or instructions. Replacements will only occur after the original merchandise has been returned for evaluation.

We will not replace or refund orders if:

• The product was misused, mishandled, or damaged by the customer

• Only part of the order is returned

• The issue resulted from customer-provided artwork or specifications

5. Credit Card & Payment Terms

If a credit card is declined, the order will not be processed.

If an account becomes delinquent after shipment, the Buyer agrees to pay a 2% monthly finance charge (24% annual rate) on any outstanding balance.

If the account remains past due, Sunray Printing Solutions Inc. may require advance payment for future orders.

In the event legal action is required to enforce payment terms, the Buyer agrees to pay all reasonable legal fees and associated costs.

6. Warranty

Sunray Printing Solutions Inc. makes no express or implied warranties beyond replacement of defective products or, at our discretion, issuing a credit for the purchase amount.

We do not guarantee color matching, print exactness, or production outcomes beyond what is commercially reasonable.

7. Shipping Terms

Shipping terms are F.O.B. St. Cloud, Minnesota, unless otherwise stated.

We will arrange shipping with the carrier on behalf of the Buyer. The Buyer is fully responsible for all shipping and handling charges.

Sunray Printing Solutions Inc. is not responsible for:

• Delays in shipping

• Carrier-related issues

• Lost, stolen, or damaged shipments once they are in possession of the carrier

Any claims related to shipping must be filed directly with the carrier.

8. Limitation of Liability

Sunray Printing Solutions Inc. shall not be liable for any incidental, indirect, special, or consequential damages arising from the use of our products or services, including but not limited to:

• Financial losses

• Lost profits

• Business interruption

• Data loss

• Reproduction costs

• Any other economic damages

The Buyer agrees to indemnify and hold Sunray Printing Solutions Inc. harmless from all claims arising from the printed materials, including but not limited to claims of copyright infringement, trademark violation, privacy invasion, or defamation.

9. Cancellations & Refunds

Orders may not be canceled or refunded once production has begun. If an order is canceled before processing starts, Sunray Printing Solutions Inc. may, at its discretion, refund a portion of the cost.

Orders that have already been produced or shipped are not eligible for refund.
